Billion US Holdings LLC Please read this Risk Disclosure carefully before using the Billion application, non-custodial wallet, payment card, and related services (the “Services”). Crypto assets and the Services involve significant risks, and this Risk Disclosure does not describe every risk. By using the Services, you acknowledge and accept the risks described below. Capitalized terms not defined here have the meaning given in our Terms of Use.
1. Crypto Asset and Stablecoin Risk
Crypto assets are highly volatile and can lose value quickly, in some cases to zero. Stablecoins may fail to maintain their intended value or “peg.” Prices, liquidity, and availability can change rapidly and without notice, and you may lose some or all of the value of your assets. Determining the value of crypto assets can be difficult, and markets may be illiquid.
2. Non-Custodial Wallet Risk
The Billion Wallet is non-custodial, which means you alone control your private keys and recovery phrase. You bear exclusive responsibility for the security and preservation of your keys, recovery phrase, credentials, and devices. If you lose your keys or recovery phrase, or they are compromised, you may permanently lose access to your assets, and Billion cannot recover, reverse, or restore them. Blockchain transactions are generally irreversible, and assets sent to an incorrect address or network may be lost.
3. Card Balance Risk
When you load your card, the value is held by our licensed partner, not by Billion, to fund card transactions. The card balance is not a bank deposit, is not held in your self-custody, and is not insured by the FDIC or any deposit-insurance or investor-protection scheme. In the event that the partner holding the card balance fails or becomes insolvent, you may be unable to recover some or all of the card balance.
4. Swap Risk
Swaps between crypto assets are executed at prices and rates determined at the time of the transaction, which may be provided by third parties and may differ from the amount quoted. Swaps are subject to network conditions and may fail, be delayed, or settle unfavorably, and once confirmed cannot be reversed.
5. Buying and Selling Crypto Risk
Buying or selling crypto (on-ramp and off-ramp) is provided by third-party providers and is subject to their pricing, verification requirements, limits, and availability. These transactions may be delayed, declined, or unavailable, and applicable fees and exchange rates will apply.
6. Regulatory and Tax Risk
Laws and regulations affecting crypto assets, wallets, cards, and related services are evolving and vary by jurisdiction, and their legal status is uncertain in many places. Changes may restrict, suspend, or prohibit some or all of the Services in your jurisdiction, or affect the value or usability of your assets. You are solely responsible for determining and meeting your own tax obligations arising from your use of the Services.
7. Third-Party and Settlement Risk
The Services rely on third parties and licensed partners, including for card issuance, holding of the card balance, identity verification, and on-ramp, off-ramp, and swap functionality. Disruption, failure, suspension, or action by any of them — including settlement delays or termination — may affect your access to the card balance or the Services. Billion does not control these third parties and is not responsible for their acts or omissions except as required by applicable law.
8. Availability and Transaction Risk
Access to the card and certain features depends on eligibility, identity verification, applicable limits, network rules, and your region, and is subject to determination by our licensed partners. Transactions may be delayed, declined, or reversed, and the Services may be unavailable at times, for legal, risk, fraud, compliance, or technical reasons. We do not guarantee that any transaction will be completed or authorized.
9. Cybersecurity Risk
The Services may be subject to cybersecurity threats, including malware, phishing, account takeover, and vulnerabilities affecting third-party providers. You are responsible for maintaining the security of your devices, credentials, keys, and recovery phrase. We cannot guarantee that the Services will be free from security incidents.
10. No Advice
Billion does not provide investment, financial, legal, or tax advice, and nothing in the Services is a recommendation to buy, sell, or hold any asset. We provide technology services. You are responsible for your own decisions and should seek independent professional advice where appropriate.

By using the Services, you acknowledge that you have read and understood this Risk Disclosure and that you accept the risks described above.
